Welcome to Rsheet (which is referred to as the "site"). This web application is owned by JSM Technology Solutions Int'l Limited (hereafter referred to as “JSM”) . Your access to the site and use of the services and tools provided on the site is governed by the following Terms of Service Agreement (the "Agreement"), which may be amended from time to time. JSM will notify schools of material changes by email before those changes take effect. Changes do not grant JSM ownership of school data or permission to use it for unrelated purposes.
Please read the following terms and conditions carefully. By accessing the site or using any of the services provided on or made available via the site, you agree to be bound by the terms and conditions of this Agreement, and your continued access to the site and/or use of such services constitutes your acceptance of any additional or different terms and conditions added to this Agreement in the future. If you are under the age of 18, your parent or guardian must agree to the terms of this user agreement before you may use the website. If you do not accept all of the terms and conditions of this Agreement, do not register on the site, use the services offered on the site or access any portion of the site, which may be password-restricted.
Your access to the site or use of any services on the site constitutes your and, where appropriate, your parent's acceptance of these terms and conditions.
JSM makes available for continuous usage (or one-time purchase) of certain services to educational institutions. The premise of our services is based on the educational institution allowing their information into our application services. As a service provider, JSM services include the automation of results, computation processes, computer-based tests, attendance trackers, and cash inflow/outflow tracking.
Access to information and records and the completion of purchase orders concerning the services are password restricted to persons who:
Unless explicitly stated otherwise, any new features that augment or enhance the current services, including the release of new JSM products, services, or tools directed at registered users or visitors of the site, shall be subject to this Agreement. JSM reserves the right at any time and from time to time to modify, discontinue, or suspend, temporarily or permanently, its offering of the services (or any part thereof) without liability to you or any third party but must inform all her users at least three months to the suspension of services.
By completing the registration process, you represent that you qualify as an eligible person to utilize the services on this site, including any services where access to educational records will be necessary. You also agree to provide true, accurate, current, and complete information about yourself as prompted by the applicable registration form and to maintain and promptly update such information to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if JSM has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, JSM has the right to suspend or terminate your account and refuse any and all current or future use of all or any of the services.
Schools retain ownership and control of the records they upload to or create through Rsheet. JSM acquires no ownership rights in those records and processes them only on the school’s behalf to provide the service. You will receive a password-protected registered user account and a user ID upon completing the registration process. You agree to:
Users are responsible for protecting their credentials. This responsibility does not remove JSM’s own obligations concerning security, confidentiality and incident handling.
You are solely responsible for all the information, data, text, messages, emails, or other communications or materials ("Content") that you create, link to, transmit, or receive by any method on or through the site. You acknowledge that, except as may be set forth in a separate written Agreement between JSM and you, JSM does not pre-screen content posted on the site or transmitted through the services and is not obligated or responsible to verify the accuracy, reliability, timeliness, or appropriateness of such content. JSM does not independently edit academic records or use school content for its own purposes. Technical processing is limited to providing the service under the school’s instructions, including the hosting, computation and backups described in the Privacy Policy. Any restriction needed to address unlawful use or a security threat must be proportionate and must not authorise unrelated use of school data.
You will not use the site and/or the services to:
Users must not harass, deceive, harm or endanger others through the service. JSM may restrict access to address misuse or security threats and will inform the school where appropriate. School records will not be disclosed voluntarily to advertisers or unrelated third parties. Any legally required disclosure is subject to the Privacy Policy.
You agree to indemnify, defend, and hold JSM (and its parents, subsidiaries, affiliates, officers, directors, shareholders, agents, partners, customers, and employees) harmless from any claim, demand, suit, damages, losses, and costs (including reasonable attorneys' fees) made by any third party due to or arising out of (i) your violation of this agreement or (ii) your violation of any law or the rights of any person or entity arising out of or related to the use of the site or services. JSM reserves the right to assume the exclusive defense and control of any such claim, demand, or suit.
You agree that JSM may, from time to time, establish and modify, in its sole discretion, general practices and limits concerning the use of the services. You agree that JSM reserves the right to log off registered user accounts that are inactive for an extended period of time at its sole discretion.
A school may stop using Rsheet at any time and may download and request deletion of its data at any time. Individual users may close their accounts but may not delete school records without the school’s authority. Termination does not transfer ownership of school data to JSM. Data export, deletion and backup handling are governed by the Privacy Policy. Ending use does not automatically create a refund entitlement; any outstanding fees or refunds are governed by the agreed subscription terms. You agree that JSM, in its sole discretion and without notice or liability to you or any third party, may terminate your account if we believe that you have violated or acted inconsistently with any term of this agreement. Termination of this agreement will not relieve you of any liabilities or obligations accrued on or before the date of termination, or limit any other remedies available to JSM arising out of your breach of this agreement. Your indemnification obligations will continue after termination to the extent permitted by applicable law. Account suspension or termination does not extinguish the school’s right to obtain its data or submit a deletion request through the contact below.
From time to time, JSM may enter into agreements with third party advertisers to advertise and promote their goods and/or services on the site. School records and personal information will not be shared with advertisers or used for advertising or profiling. Your correspondence or business dealings with, or participation in promotions of, advertisers found on the site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that JSM shall not be responsible or liable for any loss or damage of any sort incurred as a result of any such dealings.
JSM, its affiliates and licensors retain all rights, titles and interests in and to the site, the services, all content provided on the site (excluding school records, school-uploaded content, personal information and other third-party content), and the business process, procedures, methods and techniques used on or in connection with the site and the services, and all patent rights, copyrights, trademark rights, trade secret rights and other proprietary rights therein or related thereto ("Intellectual Property"). You may not modify, publish, transmit, transfer or sell, rent, lease, reproduce, create derivative works from, distribute, perform, link, display, or in any way exploit the Intellectual Property, in whole or in part, except as expressly permitted in this agreement or with the prior written consent of JSM.
You agree not to modify any site content, or source code in any manner or form, or to use modified versions of such content or code for any reason including, without limitation, for the purpose of obtaining unauthorized access to the services. You agree not to access the services by any means other than through the interface that is provided by the site for use in accessing the services.
All logos, text, and content, including underlying HTML code, designs, and graphics used and/or depicted in the site are protected under Nigeria and international copyright and trademark laws and treaties, and may not be used or reproduced without the prior express written permission of JSM. Any other third-party marks that may be shown herein are trademarks of their respective owners.
You expressly understand and agree that:
This Agreement, including the Privacy Policy, applies together with any signed institutional service agreement or data processing agreement. Specific terms in a signed institutional agreement prevail over conflicting general terms, subject to mandatory law. This Agreement is governed by the laws of Nigeria, without excluding mandatory data protection or other rights that apply in the school’s jurisdiction. You agree to submit to the personal and exclusive jurisdiction of the courts located within Nigeria. The failure of JSM to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this agreement is found by a court of competent jurisdiction to be invalid, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
These terms, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated, or otherwise transferred by you without JSM’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
The communications between you and JSM use electronic means, whether you visit the site or send e-mails. For contractual purposes, you (1) consent to receive communications from JSM in an electronic form; and (2) agree that all terms and conditions, agreements, notices, disclosures, and other communications that JSM provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing. The foregoing does not affect your statutory rights.
You hereby release the JSM and its employees, agents, officers, directors and their successors from claims, demands, any and all losses, damages, rights, and actions of any kind, including personal injuries, death, and property damage, that is either directly or indirectly related to or arises from any interactions with or conduct of other site users or third party websites of any kind arising in connection with or as a result of these terms or your use of the site or the services.
